Please read these Terms of Use hereinafter “Terms” carefully before using the services offered by The Investment Integration Project (TIIP), LLC hereinafter “TIIP”, “we” or “us”. Although the term “SAIL” for TIIP’s Systems Aware Investing Launchpad including content, information and services is used in the following, the legal relationship is concluded with TIIP as the operator of SAIL.

2. Offered Services
SAIL is a first-of-its-kind, web-based, plug-and-play solution that guides investors in launching or refining their system-level investing approaches. It equips investors with the knowledge and tools to prepare to adopt system-level investing, position themselves to influence change, and pursue any number of activities to bring that change to fruition.
3. Acceptance of Terms
These Terms and conditions apply to all users and visitors of SAIL, including the Privacy Policy available at TIIProject.com/privacy-policy/, and all other operating rules, policies, and procedures that may be published on SAIL by us.
Please review all rules, policies, and procedures governing the use of SAIL, especially the Privacy Policy so you are aware of how we collect and use your personal information.
All rules, policies, and procedures governing the use of SAIL are incorporated by reference into these Terms and may be updated by us without further notice. If you do not agree, you do not have permission to use SAIL.
4. Registration, Subscription and Fees
To use SAIL we invite you to contact the TIIP team at [email protected].
However, you must not use or register if you are under the age of majority in your jurisdiction (typically age 18). If you use SAIL, you hereby represent and warrant that you are not under the age of majority in your jurisdiction.
If you register, you agree to provide true, accurate and complete information about yourself. You also agree to keep registration information, up to date to maintain its truth, accuracy, and completeness.

You may not assign or transfer your subscription to anyone without our consent.

5. Intellectual Property
TIIP reserves all of its intellectual property rights including copyrights, trademarks, trade secrets, trade names, patents and other intellectual property rights in or associated with SAIL. Trademarks and logos used in connection with SAIL are the trademarks of their respective owners. You agree not to infringe or challenge any of the intellectual property rights owned or licensed by TIIP.
The User may not copy or reproduce any of the content and information available on SAIL without TIIP’s prior written consent.
Users shall not reverse engineer, alter, modify, disassemble or decompile any material on SAIL, or any part thereof, without TIIP’s prior written consent.
TIIP reserves the right to block, disable, delete, or otherwise remove any materials from SAIL for any reason.
If you believe that any content or materials on SAIL infringe your copyrights, contact the TIIP copyright agent, who can be reached at [email protected]. The notification must meet the requirements of the Digital Millennium Copyright Act and/or alike legal regulations.
6. Termination
Both you and TIIP may terminate you account at any time with notice to the other.
If you wish to terminate your account, you may do so by sending us a termination request by email to [email protected]. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
In addition, TIIP reserves the right to restrict, suspend, or terminate your account at any time without notice, if you breach these Terms or the law or are misusing SAIL.
On termination, you lose the right to access or use SAIL. Sections 8 to 16 of these Terms shall survive termination. Any amounts owed by either party prior to termination remain owed after termination.
7. Interactions
Your interactions with other users or other third parties are solely between you and such individuals or entities. We cannot guarantee the authenticity of any data or information that users provide about themselves. You should make whatever investigation you feel necessary or appropriate before engaging. You agree that TIIP shall not be responsible or liable for any loss or damage of any sort incurred in this context.
8. Warranties
TO THE FULLEST EXTENT PERMITTED BY LOCAL LAW, YOU UNDERSTAND AND AGREE THAT SAIL (INCLUDING CONTENT AND INFORMATION) OR SERVICES AVAILABLE THROUGH SAIL ARE PROVIDED “AS IS” AND THAT WE ASSUME NO RESPONSIBILITY FOR THE TIMELINESS, DELETION, MIS-DELIVERY OR FAILURE TO STORE ANY USER SUBMITTED INFORMATION, DATA OR PERSONALIZATION SETTINGS.
WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND CONCERNING SAIL, EXPRESSLY OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTY OF TITLE, ACCURACY OF DATA OR NON-INFRINGEMENT.
YOU UNDERSTAND AND AGREE THAT TEMPORARY INTERRUPTIONS OR ERRORS OF SAIL OR SERVICES AVAILABLE THROUGH SAIL MAY OCCUR AS NORMAL EVENTS. WE FURTHER DO NOT WARRANT THAT CONTENT MADE AVAILABLE THROUGH OUR SERVICES WILL BE ERROR-FREE.
YOU FURTHER UNDERSTAND AND AGREE THAT WE HAVE NO CONTROL OVER THIRD-PARTY WEBSITES AND NETWORKS YOU MAY ACCESS IN THE COURSE OF USING SAIL. THEREFORE, DELAYS AND DISRUPTION OF OTHER NETWORK TRANSMISSIONS ARE COMPLETELY BEYOND OUR CONTROL.
9. Indemnification
YOU HEREBY INDEMNIFY AND HOLD HARMLESS TIIP AND ITS AFFILIATES’ PARTNERS, CONTRACTORS, EMPLOYEES AND REPRESENTATIVES (HEREINAFTER: “AFFILIATES”) FROM AND AGAINST ANY CLAIMS, ACTIONS, DAMAGES, EXPENSES, LIABILITIES AND COSTS ARISING FROM OR RELATING TO THE USE OF SAIL (INCLUDING CONTENT AND INFORMATION) OR SERVICES AVAILABLE THROUGH SAIL.
10. Liability
TO THE FULLEST EXTENT PERMITTED BY LOCAL LAW, YOU AGREE THAT NEITHER TIIP, NOR ANY OF ITS AFFILIATES SHALL BE LIABLE FOR ALL CLAIMS FOR COMPENSATION AND CASES OF LIABILITY TO YOU AND/OR ANY THIRD-PARTY, (INCLUDING, BUT NOT LIMITED TO LOST PROFITS, LOST BUSINESS OPPORTUNITIES, REPUTATION, LOSS OF DATA, OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUTATIVE DAMAGES) IRRESPECTIVE OF THEIR LEGAL GROUNDS (INCLUDING, BUT NOT LIMITED TO WARRANTY, BREACH OF DUTY, MODIFICATION, ALTERATION, OR TERMINATION OF SAIL OR SERVICES AVAILABLE THROUGH SAIL).
IN ANY CASE, TIIP’S LIABILITY TO YOU IN CONNECTION WITH THESE TERMS WILL BE LIMITED TO THE TOTAL FEES PAID TO TIIP, IF ANY.
IF REQUIRED BY LOCAL LAW CLAIMS DUE TO INJURY TO LIFE, BODY AND HEALTH AND FRAUDULENT INTENT ARE EXCLUDED FROM THIS EXCLUSION OF LIABILITY. THE LOCAL PROVISIONS APPLY IN THE EVENT OF THESE EXCEPTIONS.
11. Third-Party Websites and Content
SAIL may contain links to third-party websites. We have no influence whatsoever on the content and information on these websites and accept no guarantee for its correctness. The content of such third-party websites is the responsibility of the respective owners/providers. If you access a third-party website from SAIL, you do so at your own risk. The inclusion of such a link or reference on SAIL is provided merely as a convenience and does not imply endorsement of, or association with, the website or party by us, or any warranty of any kind, being either expressed or implied.
12. Waiver
A waiver of any default hereunder or of any of the Terms shall not be deemed to be a continuing waiver or a waiver of any other default or of any other term but shall apply solely to the instance to which such waiver is directed.
13. Entire Agreement
These Terms, any supplemental rules, policies, procedures and any documents expressly incorporated by reference herein contain the whole understanding between TIIP and you and supersede any understanding or previous agreements between both of these parties relating to the subject matter covered by the understanding. No waiver or variation of this understanding will be effective unless approved in writing by the duly authorized representatives of the previously mentioned parties.
14. International Access
SAIL is controlled and operated from within the United States. Accessing SAIL is prohibited from territories where the content is illegal. If you access SAIL from other locations, you do so based on your own initiative and are responsible for compliance with local laws.
15. Applicable Law and Place of Jurisdiction
These Terms are exclusively governed by the laws of New York, United States. The place of jurisdiction shall be the ordinary courts of New York, Unites States.
16. Miscellaneous
We reserve the right, at our discretion, to modify, remove or add to these Terms from time to time. If we make material changes to it, we will provide you notice through our SAIL, or by other means, to provide you the opportunity to review the changes before they become effective. You can access the current version at TIIProject.com/sail/termsandconditions/. We will always indicate the date of the latest revision. Your continued use of SAIL after new and/or revised Terms are effective indicates that you have read, understood, and agreed to those updated Terms.
In the event of a conflict between the different translations of these Terms, the English version shall prevail.
In the event that one or more current or future provisions of these Terms shall be, or shall be deemed to be, fully or partly, invalid or unenforceable, the validity and enforceability of the other provisions shall not be affected thereby. The invalid or unenforceable provision shall be replaced by such appropriate provision that, to the extent legally permissible, comes closest to the actual or assumed intention of these Terms as of the date of the amendment of these Terms.
